Terms & Conditions for EdTech Marketplace Asia (EMA)

EdTech Marketplace Asia (“EMA”) is a digital platform managed and operated by Singapore Education Network Pte Ltd (“SEN”), having its registered address at 5 Jalan Puteh Jerneh, Singapore 278029 and bearing UEN number 202409721H.

EMA is an online marketplace platform designed to showcase, promote, and connect EdTech solutions and providers with education stakeholders across Asia.

These Terms & Conditions shall be governed by and construed in accordance with the laws of Singapore. SEN operates EMA in compliance with all applicable legal and regulatory requirements, including but not limited to the Personal Data Protection Act 2012, the Electronic Transactions Act, and applicable intellectual property laws.

1. Acceptance of Terms

By accessing the EMA platform, clicking “Log In,” “Create Account,” submitting any forms, or using any features of the platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions and EMA’s Privacy Policy.

If you do not agree, you must not access or use the EMA platform.

2. Nature of EMA Platform

2.1 Types of Users

EMA Users
EMA Users refer to individuals or organizations who access the EMA platform to browse, search, and explore EdTech solutions and provider information. EMA Users may access general content without creating an account, unless otherwise required.

EMA Providers
EMA Providers refer to individuals or organizations who register for an account to submit, manage, and publish their company profiles or solutions on the platform.

2.2 Platform Role

EMA serves as a discovery platform.
SEN acts solely as a platform provider and does not act as a buyer, seller, distributor, or agent for any EMA Provider.

2.3 Eligibility and Registration (EMA Providers)

By registering as an EMA Provider, you represent and warrant that:

  • All submitted information is accurate, complete, and up to date

  • You have the authority to represent your organization (if applicable)

  • You will maintain and update your information when necessary

SEN reserves the right to approve, reject, suspend, or revoke any EMA Provider account at its sole discretion.

2.4 Listings and Submissions

Listings on EMA may be submitted by:

  • EMA Providers

  • SEN (including listings created for directory, promotional, or ecosystem-building purposes)

For listings submitted by EMA Providers, all information must be:

  • Accurate and not misleading

  • Lawful and compliant with applicable regulations

  • Respectful of intellectual property rights

For listings created by SEN:

  • SEN may compile, publish, or curate publicly available or partner-provided information about EdTech Providers and solutions

  • While reasonable efforts are made to ensure accuracy, such listings are provided for general informational purposes

SEN reserves the right to review, edit, approve, reject, or remove any listing at its sole discretion.

2.5 Responsibilities of EMA Users

EMA Users agree to:

  • Use the platform for lawful and legitimate purposes only

  • Independently verify any information before engaging with EMA Providers

  • Acknowledge that all listings are provided by EMA Providers or compiled by SEN, and not independently verified by SEN

2.6 Fees and Paid Features

Submitting and maintaining listings on EMA is currently free of charge.

EMA operates a lead generation model, where EMA Providers may receive user inquiries or contact information from EMA Users who express interest in their solutions.

SEN may offer lead generation and related promotional services as paid features to EMA Providers. Details of such services, including pricing and scope, will be communicated separately.

SEN reserves the right to introduce additional paid features in the future, including but not limited to:

  • Featured or promoted listings

  • Marketing or promotional tools

Unless otherwise stated, all fees are non-refundable.

2.7 No Guarantee of Outcomes

EMA does not guarantee:

  • Sales, leads, or business outcomes

  • Visibility, traffic, or engagement levels

  • Partnerships, collaborations, or conversions

2.8 Suspension and Termination

SEN reserves the right to suspend or terminate any EMA User or EMA Provider account at its sole discretion if a user:

  • Violates these Terms

  • Submits false or misleading information

  • Misuses the platform

  • Engages in harmful, unethical, or abusive conduct

2.9 Account Deletion

Users may request account deletion at any time. Requests will be processed within a reasonable timeframe, subject to legal and operational requirements.

2.10 Claiming and Managing Listings

If an EMA Provider identifies a company profile or solution listing on EMA that was created by SEN and represents their organization, they may request ownership and management access to such listing.

Requests may be submitted to contact@sgeducationnetwork.org and must include sufficient information to verify ownership or authorization.

SEN reserves the right to:

  • Verify the identity and authority of the requesting party

  • Approve or reject such requests at its sole discretion

  • Transfer, modify, or retain control of the listing as deemed appropriate

Upon successful verification and approval, access may be granted to the EMA Provider to manage and update the relevant listing.

3. User Conduct

All EMA Users and EMA Providers agree not to:

  • Use the platform for unlawful purposes

  • Post or transmit false, misleading, defamatory, or infringing content

  • Infringe intellectual property rights

  • Attempt unauthorized access to the platform or its systems

  • Interfere with the operation or security of the platform

Strictly Prohibited Activities:

  • Scraping, crawling, harvesting, or extracting data from EMA by any means (automated or manual)

  • Using bots, scripts, or automated tools to access, monitor, or copy platform data

  • Reproducing, redistributing, or commercially exploiting EMA listings or database content without prior written consent

Violation may result in immediate suspension or termination of access, and SEN reserves the right to pursue legal action where applicable.

4. Intellectual Property

All content on the EMA platform, including but not limited to text, graphics, logos, design, and database structures, is owned by or licensed to SEN and is protected under applicable intellectual property laws.

Users may not reproduce, distribute, modify, or exploit any content without prior written consent from SEN.

By submitting content to EMA, EMA Providers grant SEN a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and promote such content for platform and marketing purposes.

5. Personal Data and Privacy

Your use of EMA is subject to EMA’s Privacy Policy. By using the platform, you consent to the collection, use, and disclosure of your personal data in accordance with applicable data protection laws.

5.1 Lead Generation and Data Sharing

EMA includes features that enable EMA Users to express interest in EdTech solutions or providers, including but not limited to form submissions, inquiries, downloads, or other interactions.

By using such features, you acknowledge and agree that:

  • Information you provide may be shared with relevant EMA Providers to respond to your interest or inquiry

  • Your data may be used by SEN for lead generation, marketing, and platform improvement purposes

  • Your data may be shared with EMA Providers and selected partners in accordance with the Privacy Policy

All such interactions are voluntary and initiated at your own discretion.

6. Limitation of Liability

EMA is a platform that facilitates discovery between EMA Users and EMA Providers.

To the fullest extent permitted by law:

  • SEN does not verify or guarantee the accuracy, completeness, or reliability of any listings

  • SEN is not responsible for any interactions, communications, agreements, or disputes between EMA Users and EMA Providers

  • Any engagement between users is undertaken at their own risk

  • SEN shall not be liable for any direct, indirect, incidental, or consequential loss arising from:

    • Use of the platform

    • Reliance on any content or listing

    • Interactions between users

7. No Warranties

The EMA platform is provided on an “as is” and “as available” basis.

SEN makes no representations or warranties, whether express or implied, including but not limited to:

  • Accuracy or completeness of content

  • Reliability or availability of the platform

  • Fitness for a particular purpose

8. Indemnity

You agree to indemnify and hold harmless SEN, its affiliates, partners, and representatives from and against any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the platform

  • Your listings or submitted content

  • Your violation of these Terms

  • Your infringement of any third-party rights

9. Force Majeure

SEN shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, system failures, or third-party disruptions.

10. Third-Party Services and Links

EMA may include links to third-party websites or services.

SEN does not control and is not responsible for the content, policies, or practices of such third parties.

All engagement with third parties is at your own risk.

11. Amendments

SEN reserves the right to modify these Terms & Conditions at any time. Any updates will be published on the EMA website.

Continued use of the platform constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of Singapore.

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
